1. Acceptance of Terms

By accessing, registering for, or using AutoAgent ("the Service", "Platform", "we", "us", or "our"), you agree to be legally bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you ("User", "you", or "your") and AutoAgent. If you do not agree to these Terms, you must immediately discontinue use of the Service.

By creating an account, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies referenced herein.

2. Eligibility & Account Registration

To use AutoAgent, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Not be prohibited from using the Service under applicable laws

You are responsible for all activities that occur under your account. If you suspect unauthorized access, you must notify us immediately at security@autoagent.com. Creating multiple accounts to circumvent usage limits or restrictions is strictly prohibited.

3. Service Description

AutoAgent provides an AI-powered automation platform that enables users to create, deploy, and manage intelligent agents for task execution across integrated services (email, calendars, social media, etc.). The Service utilizes large language models (LLMs) and machine learning technologies to interpret user instructions and execute tasks autonomously.

Service Features Include: Agent creation and customization, multi-platform integrations (Gmail, LinkedIn, Slack, etc.), execution monitoring and logs, usage analytics, API access (on applicable plans), and customer support.

4. Acceptable Use & Responsible AI

You agree to use AutoAgent in a lawful and ethical manner. Prohibited activities include:

  • Spam & Abuse: Sending unsolicited bulk emails, spam, or deceptive messages
  • Phishing & Fraud: Creating agents for phishing, identity theft, or financial fraud
  • Unauthorized Access: Attempting to hack, breach, or access systems without authorization
  • Data Scraping: Unauthorized scraping, crawling, or harvesting of third-party data
  • Malicious Code: Distributing malware, viruses, or harmful code
  • Harassment: Using agents to harass, threaten, or intimidate individuals
  • Illegal Content: Creating agents that generate, distribute, or promote illegal content
  • Terms Evasion: Circumventing rate limits, usage restrictions, or platform security measures
  • Impersonation: Falsely representing yourself or your agents as another entity

Violation Consequences: Any violation may result in immediate account suspension or termination without refund, legal action, and reporting to relevant authorities. We reserve the right to investigate suspected violations and cooperate with law enforcement.

5. Payment Terms & Billing

AutoAgent offers free and paid subscription plans:

  • Free Plan: Limited features and usage quotas with no payment required
  • Paid Plans: Monthly or annual subscriptions with enhanced features and higher limits
  • Usage-Based Charges: Additional fees may apply for exceeding plan limits (e.g., API calls, agent executions)

Billing Cycle: Subscriptions renew automatically at the end of each billing period (monthly/annually)

Payment Methods: We accept major credit cards, debit cards, and other methods via Stripe

Currency: All prices are in USD unless otherwise specified

Price Changes: We may modify pricing with 30 days advance notice to existing subscribers

Failed Payments: Service may be suspended if payment fails; we'll attempt to re-charge 3 times over 10 days

Taxes: Prices exclude applicable taxes (VAT, GST, sales tax), which will be added at checkout

6. Subscriptions, Refunds & Cancellation

Subscription Management:

  • Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
  • Cancellation: Cancel anytime through account settings; access continues until period end
  • Downgrades: Plan changes take effect at the next billing cycle
  • Upgrades: Immediate access with prorated charges for remaining billing period

Refund Policy:

  • 14-Day Money-Back Guarantee: Full refund if canceled within 14 days of first subscription purchase
  • No Refunds for Renewals: Subscription renewals are non-refundable after the billing period begins
  • Usage-Based Charges: Non-refundable as they reflect consumed resources
  • Service Issues: Refunds may be granted at our discretion for prolonged outages exceeding 48 hours
  • Refund Processing: Approved refunds are processed within 5-10 business days to original payment method

7. Intellectual Property Rights

Our Property: The AutoAgent platform, including all software, algorithms, user interface, design elements, branding, logos, documentation, and underlying technology, is owned by AutoAgent and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Your Content: You retain ownership of all content, data, and instructions you provide to AutoAgent ("User Content"). By using the Service, you grant us a limited license to process, store, and execute your User Content solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights to your User Content and that its use by AutoAgent does not violate any third-party rights or applicable laws.

8. Data Ownership & Usage Rights

Your Data Rights:

  • You own all data you input into AutoAgent (emails, documents, instructions, etc.)
  • You can export your data at any time in machine-readable formats (JSON, CSV)
  • Upon account deletion, all personal data is permanently removed within 30 days
  • We do not sell, rent, or share your data with third parties for marketing purposes

Our Usage Rights:

  • We may use aggregated, anonymized usage data for analytics and service improvements
  • Execution logs may be retained for debugging and performance optimization (30 days default)
  • We do not use your email content or private data to train AI models without explicit consent

9. Third-Party Integrations & Permissions

AutoAgent integrates with third-party services (Gmail, LinkedIn, Slack, calendar apps, etc.). When you connect these integrations:

  • You authorize AutoAgent to access those services on your behalf using OAuth or API keys
  • You are responsible for complying with each third-party service's terms of service
  • We request only minimum required permissions for agent functionality
  • You can revoke permissions at any time through your account settings or the third-party provider
  • We are not responsible for changes to third-party APIs or service disruptions beyond our control

Important: If a third-party service suspends your account due to agent actions, we are not liable for such suspensions. Ensure your agents comply with all applicable third-party policies.

10. Service Availability & Support

Uptime Commitment: We strive to provide 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

Support Levels:

  • Free Plan: Community support and documentation access
  • Paid Plans: Email support with 24-48 hour response time
  • Enterprise Plans: Priority support with dedicated account manager

We reserve the right to modify, suspend, or discontinue any feature or the entire Service with 30 days notice (except for emergency security updates). Active paid subscribers affected by major feature removals will receive prorated refunds.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • AutoAgent is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
  • We do not warrant that the Service will be error-free, secure, or uninterrupted
  • We are not responsible for actions taken by AI agents based on misinterpreted instructions or data
  • We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for data loss due to third-party service failures or user error

User Responsibility: You acknowledge that AI agents may make errors and agree to review critical agent actions before execution. You are solely responsible for monitoring your agents and their outputs.

12. Indemnification

You agree to indemnify, defend, and hold harmless AutoAgent, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable laws
  • Your User Content or any actions taken by your agents
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any disputes between you and third parties resulting from agent actions

13. Dispute Resolution & Arbitration

Informal Resolution: Before filing a legal claim, you agree to contact us at legal@autoagent.com to attempt informal resolution. We commit to responding within 15 business days.

Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in English, and the decision will be final and binding.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions, class arbitrations, or representative proceedings.

14. Account Termination

Your Termination Rights: You may terminate your account at any time through account settings. Upon termination:

  • Your subscription will cancel at the end of the current billing period
  • All agents will cease execution immediately
  • Personal data will be deleted within 30 days (except legally required billing records)
  • You can export your data before deletion via account settings

Our Termination Rights: We may suspend or terminate your account immediately without notice if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is used for illegal activities
  • Payment fails repeatedly
  • We are required to do so by law or legal process
  • Your account poses a security risk to our systems or other users

Terminated accounts for violations are not entitled to refunds.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you may terminate your account before the changes take effect. We will provide a copy of previous Terms versions upon request for your reference.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved exclusively in the state or federal courts located in Delaware.

If you are accessing the Service from outside the United States, you consent to the transfer and processing of your data in the U.S. and agree that U.S. law governs these Terms.

17. Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement
  • No Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms; we may assign them to affiliates or successors
  • Force Majeure: We are not liable for delays caused by events beyond our reasonable control
  • Survival: Provisions regarding liability, indemnification, and dispute resolution survive termination

By using AutoAgent, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
